1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and PayLoop LLC ("PayLoop," "we," "us," or "our"), a Delaware limited liability company with its principal office at 1209 Orange Street, Suite 600, Wilmington, DE 19801, United States.
By accessing or using the PayLoop platform, including our checkout services, subscription management tools, and administrative dashboard (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
2. Description of Services
PayLoop provides a subscription billing and payment processing platform that enables businesses ("Merchants") to:
- Accept one-time and recurring payments from their customers
- Manage subscriptions, including creation, modification, pausing, and cancellation
- Process refunds and handle billing disputes
- Integrate with third-party e-commerce platforms including Shopify
- Manage multiple merchant accounts and payment gateways
3. Account Registration and Security
To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your use complies with all applicable laws and regulations
4. Payment Processing
4.1 Payment Methods
We process payments through authorized third-party payment processors, including NMI (Network Merchants Inc.) and other gateway providers. By providing payment information, you authorize us to charge the specified payment method for all fees and charges incurred.
4.2 Card Data Security
PayLoop does not store, process, or have access to raw cardholder data on our servers. All sensitive payment card information is securely tokenized and stored by our PCI DSS Level 1 certified vault provider, Basis Theory, Inc. Card data is transmitted directly from your browser to Basis Theory's secure infrastructure using their Elements technology, ensuring that cardholder data never passes through PayLoop's systems.
4.3 3D Secure Authentication
Where applicable, transactions are authenticated using 3D Secure (3DS) technology to provide additional fraud protection and liability shift for both merchants and cardholders.
4.4 Recurring Billing
For subscription services, you authorize recurring charges at the intervals and amounts specified at the time of purchase. Charges will continue until the subscription is cancelled by you or terminated by the merchant.
5. Subscription Terms
5.1 Billing Cycles
Subscriptions are billed according to the interval selected at purchase (e.g., monthly, weekly, annually). Your billing date is determined at the time of your initial purchase.
5.2 Cancellation
You may cancel your subscription at any time by contacting the merchant directly or through the provided account management tools. Cancellation takes effect at the end of the current billing period unless otherwise specified by the merchant's refund policy.
5.3 Failed Payments
If a scheduled payment fails, we will attempt to process the payment up to three (3) additional times over a 14-day period. If all retry attempts fail, the subscription may be paused or cancelled at the merchant's discretion.
6. Refund Policy
Refund eligibility is determined by the individual merchant's refund policy. PayLoop facilitates refund processing on behalf of merchants. For detailed refund terms, please refer to our Refund Policy or contact the merchant directly.
7. Prohibited Uses
You agree not to:
- Use the Services for any illegal or unauthorized purpose
- Submit fraudulent payment information or conduct unauthorized transactions
- Attempt to circumvent security measures, rate limits, or access controls
- Use automated systems (bots, scrapers) to interact with the Services without authorization
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
8. Intellectual Property
The Services, including all software, design, text, graphics, and other content, are the property of PayLoop LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYLOOP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PAYLOOP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless PayLoop LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or via email. Continued use of the Services after changes constitute acceptance of the modified Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
14. Dispute Resolution
Any dispute arising from these Terms or your use of the Services shall first be attempted to be resolved through informal negotiation. If unresolved within thirty (30) days, either party may initiate binding arbitration under the rules of the American Arbitration Association.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
